By using the Matco Tools Industrial Site (hereinafter, "MTIS"), you agree, without limitation or qualification, to be bound by, and to comply with, these Terms of Service and any other posted guidelines or rules applicable to MTIS. All such guidelines and rules are hereby incorporated by reference into the Terms of Service. MTIS reserves the right to modify MTIS and these Terms of Service from time to time, for any reason, and without notice. Please review these Terms of Service from time to time so you will be apprised of any changes. 2. REGISTRATION AND PRIVACY. In order to register with MTIS, you must provide certain data. In consideration of your use of MTIS, you represent and warrant that: (a) the information about yourself is true, accurate, current, and complete (apart from optional items) as required by various MTIS registration forms ("Registration Data") and (b) you will maintain and promptly update the Registration Data to keep it true, accurate, current and complete. If you provide any information that is untrue, inaccurate, not current or incomplete, or MTIS has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, MTIS has the right to suspend or terminate your account and refuse any and all current or future use of MTIS. All MTIS registrations become the exclusive property of MTIS, its affiliates and subsidiaries. MTIS reserves the right to use and reuse all registration and other personally identifiable user information subject to MTIS Privacy Policy. Users may edit, update, alter or obscure their personally identifiable information at any time by following the instructions located in MTIS and the Privacy Policy. You agree to immediately notify MTIS of any unauthorized use of your password or account or any other breach of security. MTIS cannot and will not be liable for any loss or damage arising from your failure to comply with any of these requirements. 4. CONDUCT. You acknowledge and recognize that MTIS is not a public site, and you agree that: 4.1. MTIS shall only be used for legitimate business purposes by authorized employees on behalf of companies authorized by MTIS; 4.2. you shall not distribute, circulate, or otherwise share your password or access to your account or any information that you acquire from MTIS; 4.3. you shall not use any of the content accessible through MTIS for any purpose other than the purpose for which such content is made available to users by MTIS; 4.4. you shall keep confidential all content accessible through MTIS, including any and all pricing and inventory information; 4.5. you shall not reproduce, duplicate, copy, sell, resell, transmit, display, publish, license, or exploit for any commercial purposes in any way any portion of MTIS, any access to any portion of MTIS, or any information contained or available in any portion of MTIS. 5. Any such termination shall be in MTIS's sole discretion and may occur without prior notice, or any notice. MTIS further reserves the right to terminate any user's access to MTIS for any conduct that MTIS, in its sole discretion, believes is or may be directly or indirectly harmful to other users, to MTIS or its subsidiaries, affiliates, or business contractors, or to other third parties, or for any conduct that violates any local, state, federal, or foreign laws or regulations. MTIS further reserves the right to terminate any user's access to MTIS for any reason or for no reason at all, in MTIS's sole discretion, without prior notice, or any notice. 6. DISCLAIMER OF WARRANTIES. YOU EXPRESSLY UNDERSTAND AND AGREE THAT: 6.1. YOUR USE OF MTIS IS AT YOUR SOLE RISK. MTIS IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. ALL INFORMATION, PRODUCTS, AND SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. 6.3. MTIS MAKES NO WARRANTY THAT (i) MTIS WILL MEET YOUR REQUIREMENTS, (ii) MTIS WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (iii) THE RESULTS OR INFORMATION THAT MAY BE OBTAINED FROM THE USE OF MTIS WILL BE ACCURATE OR RELIABLE, (iv) THE QUALITY OF ANY PRODUCTS, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH MTIS WILL MEET YOUR EXPECTATIONS, or (v) THE INFORMATION THAT YOU PROVIDE TO MTIS WILL REMAIN SECURE. 6.4. ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF MTIS IS OBTAINED, ACCEPTED, AND USED AT YOUR OWN DISCRETION AND RISK AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF ANY SUCH MATERIAL. 6.5. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU THROUGH OR FROM MTIS SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS OF SERVICE. 7. LIMITATION OF LIABILITY. YOU EXPRESSLY UNDERSTAND AND AGREE THAT MTIS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF MTIS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM: (i) THE USE OR THE INABILITY TO USE MTIS; (ii) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES RESULTING FROM ANY GOODS, DATA, INFORMATION OR SERVICES PURCHASED OR OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH OR FROM MTIS; (iii) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; (iv) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON MTIS; OR (v) ANY OTHER MATTER RELATING TO MTIS. IF YOU ARE DISSATISFIED WITH ANY PORTION OF MTIS, OR WITH ANY OF THESE TERMS OF USE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING MTIS. 8. EXCLUSIONS AND LIMITATIONS. SOME JURISDICTIONS DO NOT ALLOW THE DISCLAIMER OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATION OF LIABILITY OR DISCLAIMER OF WARRANTIES MAY NOT APPLY TO YOU. 9. ADVERTISERS AND CONTENT LINKED TO MTIS. INDEMNITY AND RELEASE. YOU HEREBY AGREE TO WAIVE ALL LAWS THAT MAY LIMIT THE EFFICACY OF SUCH RELEASES. 11. NO LICENSE TO INTELLECTUAL PROPERTY. Except as expressly provided, nothing within MTIS shall be construed as conferring any license to any of MTIS's content or MTIS's intellectual property rights therein, whether by estoppel, implication, waiver, or otherwise. Without limiting the generality of the foregoing, you acknowledge and agree that certain content available through and used to operate MTIS is protected by copyright, trademark, patent, or other proprietary rights of MTIS and its affiliates, licensors, and service providers. Except as expressly provided to the contrary, you agree not to modify, alter, or deface any of the trademarks, service marks, or other intellectual property made available by MTIS in connection with MTIS. You agree not to adapt, translate, modify, decompile, disassemble, or reverse engineer MTIS or any software or programs used in connection with MTIS. 12. COPYRIGHT, TRADEMARK, AND PATENT NOTICES. 13. GENERAL. These Terms of Service constitute the entire agreement between the parties with respect to use and reliance upon MTIS and supersede any other agreement, proposals, and communications, written or oral, between MTIS and you with respect to use and reliance upon MTIS; provided, however, that, to the extent that they do not conflict with these Terms of Service, any other terms and conditions located on MTIS are incorporated herein by reference. The failure of MTIS to exercise any right or provision of these Terms of Service shall not constitute a waiver of such right or provision. If a court of competent jurisdiction holds any provision of these Terms of Service to be invalid, the remainder of these Terms of Service shall remain in full force and effect. You acknowledge and agree that you and MTIS are independent contractors under these Terms of Service, and nothing herein shall be construed to create a partnership, joint venture, agency, or employment relationship. Neither party pursuant to these Terms of Service has authority to enter into agreements of any kind on behalf of the other and neither party shall be considered the agent of the other. 14. NO RESALE, ASSIGNMENT, OR SUBLICENSING. You agree not to resell, assign, sublicense, otherwise transfer, or delegate your rights or obligations under these Terms of Service without prior express written authorization of MTIS. 15. VIOLATIONS OF TERMS AND CONDITIONS. Should you violate these Terms of Service or any other rights of MTIS, MTIS reserves the right to pursue any and all legal and equitable remedies against you, including, without limitation, terminating any and all user accounts on MTIS.
